Terms of Service

Effective Date: June 23, 2026 Last Updated: June 23, 2026

⚠️ IMPORTANT — READ FIRST

GHSLogic is a draft decision-support tool only. Outputs from the GHSLogic platform — including draft Safety Data Sheets (SDS), regulatory classifications, transport classification suggestions, and translations — are drafts intended for review by a qualified SDS/GHS/regulatory professional. They are not certified, compliant, or legally valid documents and must not be distributed, submitted to regulators, or applied to product labelling without independent professional review.

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("User," "you") and GHSLogic LLC, a Maryland limited liability company ("GHSLogic," "we," "us," or "our"), governing your access to and use of the GHSLogic web platform and any related services (collectively, the "Service") available at ghslogic.com.

By creating an account, accessing the Service, or clicking "I agree" (or any similar mechanism), you confirm that:

  • You have read, understood, and agree to be bound by these Terms.
  • You are at least 18 years old and have the legal authority to enter into this agreement.
  • If you are using the Service on behalf of an employer or other entity, you have authority to bind that entity, and "you" includes that entity.
  • You agree to the Privacy Policy and Acceptable Use Policy, which are incorporated by reference.

If you do not agree to these Terms, do not use the Service.

2. Description of the Service

GHSLogic is a web-based software-as-a-service platform that assists EHS professionals, SDS authors, regulatory affairs specialists, chemical manufacturers, and formulators in preparing draft regulatory classification analyses and Safety Data Sheet content for chemical mixtures.

The Service may include features such as:

  • Draft hazard classification suggestions under the GHS framework
  • Draft SDS section content generation
  • Identification of potential regulatory issues for review
  • Document translation drafts
  • Project storage and export tools

2.1 What the Service Is Not

The Service is not:

  • A substitute for a qualified SDS author, toxicologist, industrial hygienist, or regulatory affairs professional
  • A producer of certified, compliant, or legally valid SDS documents
  • A guarantor of regulatory compliance in any jurisdiction
  • An auto-certifier of transport classification under DOT, IATA, IMDG, ADR, or any other transport regulation
  • A source of legal, regulatory, medical, or toxicological advice

Every output from the Service carries a mandatory disclaimer:

"Draft decision-support document only. Requires review by a qualified SDS/GHS/regulatory professional before use or distribution."

You agree not to remove, obscure, or alter this disclaimer on any output you export, share, or otherwise distribute.

3. PROFESSIONAL REVIEW REQUIRED

This section is fundamental to your use of the Service. Read it carefully.

GHSLogic outputs are drafts, not finished regulatory deliverables. Before any GHSLogic output is:

  • Used as, or as the basis for, a Safety Data Sheet provided to customers, distributors, or workers;
  • Submitted to any regulatory authority (including but not limited to OSHA, EPA, ECHA, member-state competent authorities, or transport authorities);
  • Used for product labelling, workplace hazard communication, transport documentation, or any other compliance purpose;
  • Relied upon for any decision affecting worker safety, public safety, environmental protection, or product distribution;

a qualified human professional with appropriate credentials and jurisdictional competence — such as a certified SDS author, toxicologist, industrial hygienist, regulatory affairs specialist, or licensed attorney — must independently review, verify, correct as necessary, and approve the output.

You acknowledge and agree that:

  • The Service uses artificial intelligence and may produce incomplete, inaccurate, outdated, or context-inappropriate content;
  • Regulatory frameworks (including GHS implementations such as OSHA HCS 2012/2024, EU CLP, and transport regulations) change frequently and the Service may not reflect the most current requirements;
  • Trade-secret/confidential business information (CBI) determinations, exposure limits, transport classifications, and many other regulatory determinations require professional judgment that the Service cannot supply;
  • You — not GHSLogic — are responsible for the accuracy, completeness, and compliance of any document derived from a GHSLogic output.

4. User Accounts

4.1 Registration

You must register an account to use most features. You agree to provide accurate, current, and complete information and to keep that information updated.

4.2 Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must:

  • Use a strong, unique password (minimum 12 characters);
  • Enable multi-factor authentication (MFA) where offered;
  • Notify us immediately at hello@ghslogic.com if you suspect unauthorized access.

4.3 One Account per User

Each account is for a single named user. Sharing credentials is prohibited (see Section 7).

5. User Responsibilities

You agree that you will:

  • Provide accurate input data. Compositions, supplier SDS documents, concentrations, intended uses, and other inputs you provide must be accurate to the best of your knowledge. The Service cannot detect errors in your inputs, and inaccurate inputs will produce unreliable outputs.
  • Ensure professional review. You will not use any GHSLogic output for compliance, distribution, or labelling purposes without independent review by a qualified professional as described in Section 3.
  • Comply with applicable laws. You will use the Service only for lawful purposes and only in jurisdictions where you have, or have engaged, the necessary professional qualifications.
  • Respect third-party rights. You will not upload supplier SDS documents or other materials that you do not have the right to upload and process.
  • Maintain your own records. You are responsible for retaining copies of any outputs you wish to preserve. We are not a system of record for regulatory documentation.

6. License to Use the Service

Subject to your compliance with these Terms and timely payment of applicable fees, GHSLogic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

7. Prohibited Uses

You will not, and will not permit any third party to:

  • Pass off GHSLogic-generated draft content as a certified, professionally authored, or legally compliant SDS, classification, or regulatory document;
  • Use Service outputs for compliance purposes in any jurisdiction or for any subject matter where you (or a reviewing professional) lack appropriate qualifications;
  • Remove, obscure, or alter the mandatory draft disclaimer on Service outputs;
  • Reverse engineer, decompile, or attempt to extract the source code, models, prompts, or training data of the Service or any underlying AI system;
  • Use the Service to develop a competing product, or to train any machine-learning model;
  • Scrape, crawl, or use automated means to extract data from the Service except via documented APIs you are authorized to use;
  • Upload malware, viruses, or any code intended to interfere with the Service;
  • Probe, scan, or test the vulnerability of the Service except as expressly authorized;
  • Resell, sublicense, or share access to the Service with parties outside your organization;
  • Share account credentials with any other person;
  • Use the Service in a manner that violates any law, regulation, or third-party right.

Violation of this section may result in immediate suspension or termination without refund.

8. Subscription Plans, Billing, and Cancellation

8.1 Plans

We offer the following plans, which may change from time to time:

  • Free Plan. A single project with regulatory screening and GHS classification; a limited number of SDS audits. Exports, translations, GHS labels, the Draft SDS generator, and hosted SDS publishing are not included.
  • Professional Plan. Unlimited projects with full access to SDS authoring, GHS mixture classification, regulatory screening, GHS labels, translations, SDS audit, and hosted SDS publishing. Offered on a monthly or annual basis, and (while available) under a discounted founding-customer rate.

Current plan names, features, limits, and prices are posted at ghslogic.com/pricing, which is incorporated into these Terms. Where the posted pricing and any figure in these Terms differ, the pricing page governs.

8.2 Billing

Paid plans are billed in advance on a recurring basis — monthly or annually, depending on the billing period you select at checkout — through our payment processor, Stripe. By subscribing, you authorize recurring charges to your designated payment method until you cancel. Annual plans renew annually and monthly plans renew monthly.

You are responsible for all applicable taxes other than taxes on our net income.

8.3 Cancellation

You may cancel a paid subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access through that period.

8.4 Refund Policy

Subscription fees are non-refundable except where required by law. We do not provide pro-rata refunds for partial billing periods or unused time. We may, in our sole discretion, issue refunds in exceptional circumstances.

8.5 Price Changes

We may change subscription pricing on at least 30 days' notice. Price changes take effect at the start of your next billing period after the notice period.

8.6 Failed Payments

If a payment fails, we may suspend or downgrade your account. Restoration occurs once payment is successfully processed.

9. Intellectual Property

9.1 Our IP

The Service, including all software, designs, graphics, text, models, prompts, and the GHSLogic name and logo, is owned by GHSLogic LLC or its licensors and is protected by intellectual property laws. No rights are granted to you except as expressly set out in these Terms.

9.2 Your Content

You retain all rights to data, documents, and other content you upload or input into the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use User Content solely to provide and improve the Service for you, including transmission to subprocessors as described in our Privacy Policy.

We do not use your User Content to train AI models. Anthropic processes your User Content to generate outputs for you, subject to its own published policies and the Data Processing Agreement we maintain with it where applicable.

9.3 Output Ownership

Subject to these Terms and your payment of applicable fees, you own the outputs the Service generates from your inputs ("Outputs"). You acknowledge that:

  • Outputs are AI-generated drafts and may not be eligible for copyright protection in all jurisdictions;
  • Similar inputs from different users may produce similar Outputs;
  • Outputs may include or be derived from publicly available regulatory text and standardized GHS hazard statements, which we do not claim to own.

9.4 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

10. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the maximum extent permitted by law, GHSLogic disclaims all warranties, including but not limited to:

  • Merchantability, fitness for a particular purpose, and non-infringement;
  • That the Service will be uninterrupted, error-free, secure, or free of harmful components;
  • That Outputs will be accurate, complete, current, or fit for any regulatory purpose;
  • That Outputs will comply with OSHA HCS, EU CLP, REACH, TSCA, WHMIS, transport regulations (DOT, IATA, IMDG, ADR), or any other law, regulation, or standard in any jurisdiction;
  • That use of the Service will produce any particular regulatory or business outcome.

No advice or information, oral or written, obtained from GHSLogic or through the Service creates any warranty not expressly stated in these Terms.

GHSLogic is not a substitute for professional SDS authoring, hazard classification, toxicological assessment, regulatory consulting, or legal advice. Reliance on Outputs without independent professional review is at your sole risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.1 Excluded Damages

GHSLogic, its affiliates, officers, members, employees, contractors, and licensors will not be liable for any:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages;
  • Loss of profits, revenue, business, goodwill, or anticipated savings;
  • Loss or corruption of data;
  • Regulatory penalties, fines, enforcement actions, sanctions, or compliance costs arising from your use of, or reliance on, the Service or any Output;
  • Costs of product recall, re-labelling, re-classification, or replacement of substitute products or services;
  • Workplace incidents, injuries, illnesses, exposures, or environmental incidents arising from use of, or reliance on, the Service or any Output;
  • Decisions you or any third party make based on AI-generated content,

even if GHSLogic has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

11.2 Liability Cap

In any event, GHSLogic's aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) one hundred US dollars (US$100) or (b) the total fees you paid to GHSLogic in the twelve (12) months immediately preceding the event giving rise to liability.

11.3 No Warranty of Compliance

Without limiting the foregoing, GHSLogic provides no warranty that any Output complies with any law, regulation, or standard, and no liability attaches to GHSLogic for any regulatory, compliance, labelling, transport, or workplace-safety consequence of your use of an Output.

11.4 Allocation of Risk

You acknowledge that the fees charged for the Service reflect this allocation of risk and that, without these limitations, GHSLogic would not be able to offer the Service at the prices charged.

11.5 Jurisdictional Carve-Outs

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent any limitation in this Section is held unenforceable in your jurisdiction, the remaining limitations will apply to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless GHSLogic LLC, its affiliates, officers, members, employees, contractors, and licensors from and against any claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service;
  • Your User Content or Outputs you exported, distributed, submitted, or relied upon;
  • Your failure to obtain professional review of an Output before use or distribution;
  • Your breach of these Terms or violation of any law or third-party right;
  • Any regulatory action, enforcement proceeding, fine, recall, or workplace-safety claim arising from documents you produced using the Service.

GHSLogic may, at its option, assume the defense and control of any matter for which you are required to indemnify us, in which case you will cooperate at our reasonable expense.

13. Term and Termination

13.1 Term

These Terms apply from your first use of the Service and continue until terminated.

13.2 Termination by You

You may terminate by deleting your account in Account → Security.

13.3 Termination by Us

We may suspend or terminate your access:

  • Immediately, for material breach of these Terms (including any prohibited use);
  • Immediately, if required by law, regulation, or court order;
  • For convenience, on at least 30 days' notice (in which case we will refund any prepaid, unused subscription fees).

13.4 Effect of Termination

On termination, your license to use the Service ends. We will delete your account data in accordance with our Data Retention and Deletion Policy, subject to any legal-hold obligations. Sections that by their nature should survive (including IP, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — for example by email to your registered address or by an in-app notice — at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept, you must stop using the Service and may cancel your subscription.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and GHSLogic agree that the state and federal courts located in Harford County, Maryland (or, if federal jurisdiction exists, the U.S. District Court for the District of Maryland) will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and you consent to personal jurisdiction in those courts.

Nothing in this Section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

16. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy and any policies referenced in them, are the entire agreement between you and GHSLogic regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No Waiver. A failure to enforce any provision is not a waiver.
  • Assignment. You may not assign these Terms without our written consent. We may assign without restriction.
  • Force Majeure. Neither party is liable for delays caused by events beyond reasonable control.
  • Notices. We may give notices by email, in-app message, or posting at ghslogic.com. Notices to GHSLogic should be sent to hello@ghslogic.com.
  • Independent Contractors. Nothing creates an agency, partnership, or joint venture.

Addendum A — Hosted SDS Publishing

This Addendum supplements the Terms of Service and applies only if and when you use the optional Hosted SDS Publishing feature (the "Publishing Feature"). Where this Addendum conflicts with the main Terms, this Addendum governs with respect to the Publishing Feature only. The Publishing Feature may not be enabled for all accounts or at all times, and we may enable, disable, or modify it at our discretion.

A.1 What the Publishing Feature Does

The Publishing Feature lets you choose to make a finalized Draft SDS available at a public, unauthenticated web address that we host (for example, a permanent per-product link and an associated QR code). When you publish an SDS, anyone with the link — or, if you allow search-engine indexing, anyone on the open internet — can view and download that SDS. The published version reflects the latest finalized SDS for that product; earlier finalized versions may remain accessible at versioned links marked as superseded.

A.2 Publishing Is Your Decision and Your Responsibility

Publishing is off by default and occurs only when you affirmatively publish a specific SDS. You acknowledge and agree that:

  • You control what is published. You decide which SDS to publish and when to withdraw it. We do not select, review, edit, or verify published content.
  • The professional-review requirement still applies. As with all Outputs, an SDS must be independently reviewed and approved by a qualified professional (see Section 3 of the Terms) before you publish it. Publishing a draft or unreviewed SDS is a prohibited use.
  • You are responsible for the content. You are solely responsible for the accuracy, completeness, currency, and lawfulness of any SDS you publish, and for ensuring it is appropriate for public distribution (including that it does not disclose trade-secret or confidential information you did not intend to release).
  • Public exposure is the point. You accept that published content is, by design, publicly accessible and may be cached, copied, indexed, or archived by third parties (including search engines and web archives) even after you withdraw it. Withdrawal removes the content from our hosted page going forward but cannot retrieve copies already made by others.

A.3 License to Host and Display

For each SDS you publish, you grant GHSLogic a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that SDS and its associated metadata (such as product name and supplier identification) and to generate links and QR codes for it, solely to operate the Publishing Feature for you. This license continues while the SDS is published and ends when you withdraw it, except for incidental copies retained in routine backups and as otherwise described in A.2.

A.4 Your Warranties

By publishing an SDS, you represent and warrant that you have all rights necessary to publish and publicly distribute it; that its public distribution does not infringe or violate any third party's intellectual property, confidentiality, or other rights; and that it does not contain unlawful content.

A.5 Withdrawal, Suspension, and Availability

You may withdraw a published SDS at any time from your account; following withdrawal, the public address will serve a withdrawal notice rather than the document. We may also suspend, remove, or disable any published SDS or the Publishing Feature itself — with or without notice — if we believe it violates these Terms or applicable law, or for operational, legal, or security reasons. The Publishing Feature is provided on the same "as is" / "as available" basis, and subject to the same disclaimers, limitation of liability, and indemnification, as the rest of the Service; we do not warrant any particular uptime, availability, or persistence of public links.

A.6 Indemnification

Without limiting Section 12 of the Terms, you agree to indemnify and hold harmless GHSLogic from any claim, demand, loss, or expense arising out of or relating to content you published using the Publishing Feature, your withdrawal or failure to withdraw it, or any third party's access to or reliance on it.
